She specializes in advising Boards and Executive Management Teams on fiduciary duties and taking corporate action, and has extensive experience in transactions involving stock purchases and asset sales.

Jennifer has over 25 years of representing and advising start-up ventures in Silicon Valley through all stages of their development and growth, including seed and venture capital financings.  She advises clients on matters ranging from formation to private offerings, predominately from the entrepreneur and company side.

Jennifer also has extensive experience litigating in state and federal courts, and has represented business and individual clients in federal bankruptcy litigation, on matters involving shareholder disputes and derivative litigation, contract and licensing disputes, fraud claims, unfair business practices and breach of contract.

Jennifer currently acts as SVP and General Counsel to Graphene Technology Solutions, in the emerging nanotechnology materials space, and US General Counsel to Ellex Medical and Ellex iScience.

James Hagan

Attorney

James R. Hagan is an attorney with Menlo Law Group. Mr. Hagan has been engaged in the private practice of law in Palo Alto and the Silicon Valley since 1972. Before that, Mr. Hagan spent five years in the U.S. Marine Corps as a jet fighter pilot and three years in venture capital and as President of a start-up electronics company.

Since then, Mr. Hagan’s principal areas of law practice have been corporate formations and governance, venture capital transactions, securities offerings, mergers and acquisitions, complex contract negotiations, and real estate transactions. Mr. Hagan’s clients include the founders of Intel and Computerland, an inventor of the Winchester disk drive, venture capital companies, and high-technology research companies. Mr. Hagan has been a director and Secretary of publicly-held and private corporations. Mr. Hagan’s special skill is his capacity for sound judgment and clear vision in making and implementing long-term plans and strategic decisions.

Mr. Hagan is also a licensed clinical psychologist in California (currently inactive) and was engaged for many years in private practice as a psychologist in Palo Alto. More information about Mr. Hagan is as follows:
